Abu Dhabi, UAE | Sep 12, 2025 (The Arabian Wall Street) — The Abu Dhabi National Oil Company (Adnoc) has announced that it will transfer its equity stakes in several of its listed subsidiaries to XRG, its wholly-owned international energy investment arm. The move is part of Adnoc’s broader strategy to consolidate investments, boost financial flexibility, and reinforce long-term value creation.
Despite the internal restructuring, Adnoc confirmed that it will continue to maintain full control and ultimate ownership of the companies through its 100% shareholding in XRG. Importantly, the company emphasized that the transfer would not affect the day-to-day operations, leadership teams, or strategic direction of its listed businesses. Dividend policies will also remain unchanged, in line with Adnoc’s history of delivering predictable and sustainable returns to shareholders.
The restructuring strengthens XRG’s financial position, giving it access to stable dividend streams generated by Adnoc’s portfolio of listed entities. These include:
- Abu Dhabi National Oil Company for Distribution (Adnoc Distribution)
- Adnoc Drilling Company
- Adnoc Gas
- Adnoc Logistics and Services
The transfer of majority shareholdings in Adnoc Distribution, Adnoc Gas, and Adnoc Logistics & Services has already been completed through off-market transactions on the Abu Dhabi Securities Exchange (ADX). The transfer of Adnoc Drilling will proceed following the necessary regulatory approvals.
In addition, Adnoc reaffirmed its plans regarding Borouge Group International (BGI). Upon regulatory approvals and the completion of the planned merger of Borouge and Borealis AG, BGI will acquire NOVA Chemicals, with Adnoc’s entire stake in the new entity to be held under XRG. The company also confirmed that its stake in Fertiglobe is already managed through XRG.
By consolidating these assets, Adnoc is reinforcing XRG as a global energy investment powerhouse, enabling stronger capital discipline, enhanced scale, and sustained growth opportunities aligned with the company’s long-term strategy.
